These Terms of Use govern the participation in the free trial of Blip Studio (“Trial”). By accepting these Terms and enabling access to Blip Studio, the Client declares that it has read, understood and agreed to these Terms of Use and to Blip’s Terms of Service.
1. PURPOSE AND DEFINITIONS
1.1. Blip Studio (“Studio”) is a platform that enables the creation, management and orchestration of AI agents and intelligent contacts, centralizing generative AI resources, conversational flows and integrations.
1.2. The Trial consists of free experimental access to Blip Studio, under the conditions set forth herein.
1.3. Capitalized terms used herein shall have the meanings assigned to them in Blip’s Terms of Service, available at https://www.blip.ai/docs/termos-de-servico/ (“Terms of Service”).
2. TRIAL PERIOD AND CONDITIONS
2.1. The Trial is a one-time free benefit, valid for a period of 30 (thirty) days, with no new contracting required. Blip may, at its sole discretion, anticipate, extend, suspend or terminate the Trial, upon reasonable notice.
2.2. The Trial is provided on a free and experimental basis and “as is”, without guarantees of availability, continuity, performance or suitability for any particular purpose.
2.3. Configurations, agents, flows and content created during the Trial may not be preserved after the Trial ends, unless the Client enters into a contract for the product. The Client is therefore advised to export and save any information it wishes to retain.
3. TOKENS CREDIT
3.1. In order to use Blip Studio during the trial, Blip shall grant the Client, as a courtesy, a token credit specified at the time of acceptance of these Terms (“Credit”).
3.2. The token credit may only be used during the Studio Trial and may not be converted into cash, accumulated on a monthly basis, refunded or compensated, including in relation to any unused or residual balance.
3.3. Once the credit limit is reached, access to Blip Studio will be automatically suspended and the trial will end, regardless of whether the initially scheduled 30 (thirty)-day period has expired.
3.4. Blip may adjust the token credit, token calculation methodology and rules for restarting or granting the Trial, upon reasonable notice.
3.5. The Credit applies exclusively to the use of Blip Studio and does not alter, replace, reduce, or offset any amounts owed by the Client. The Client remains fully obligated to pay the fees for the Blip Platform and Messaging Channels in accordance with the terms, allowances, and prices agreed upon in the contract already signed with Blip. Messages sent via the Platform and/or paid Messaging Channels (e.g., WhatsApp Business Solution and SMS) shall continue to be normally tracked and billed in accordance with the terms of the contract.
4. END OF THE TRIAL
4.1. Access to Studio will be automatically interrupted upon the end of the Trial, in accordance with Clause 2.1., regardless of additional notice.
4.2. Any continued use of Studio after the Trial requires the Client to enter into the applicable product agreement, subject to the terms and conditions in effect at that time.
4.3. The end of the Trial does not give rise to any indemnification, refund or automatic migration, nor does it create any obligation for Blip to maintain the Client’s data or configurations.
5. ACCEPTANCE AND APPLICABLE TERMS
5.1. Use of the Trial is subject to the Client’s acceptance of and compliance with Blip’s Terms of Service and the annexes applicable to Studio, including the Client’s obligations, limitations of Blip’s liability, Acceptable Use Policy, Code of Conduct and Data Processing Agreement (“DPA”).
5.2. These Trial Terms supplement Blip’s Terms of Service. In the event of a dispute concerning solely the Blip Studio Trial, the provisions of this Agreement shall prevail; for all other matters, the Terms of Service shall apply.
5.3. The processing of personal data and the use of aggregated data shall be governed by the provisions of the Terms of Service and the Data Processing Agreement, as well as by the applicable data protection legislation.
6. MESSAGING CHANNELS AND END USERS
6.1. The Client is responsible for complying with the Terms of use and policies of the messaging channels integrated with Blip Studio, including any changes made at any time, without Blip’s involvement.
6.2. Specifically with regard to the WhatsApp Business Solution, the Client agrees to accept and comply with the terms and commercial policies of Meta Platforms, Inc., including, without limitation, https://www.whatsapp.com/legal/business-terms/ and https://www.whatsapp.com/policies/commerce-policy/. Blip does not participate in or assume responsibility for decisions and actions taken by the Messaging Channels or Meta (for example, number activation, official badge, message categorization, or account termination).
6.3. The sending of messages to End Users must be preceded by unequivocal opt-in or another lawful basis under applicable legislation and the policies of the respective Messaging Channel. The Client is fully responsible for the content transmitted and for its relationship with its End Users.
7. ARTIFICIAL INTELLIGENCE
7.1. AI technologies may have limitations, inaccuracies, inconsistent responses and may generate incorrect or misleading information (“hallucinations”). Blip does not guarantee the accuracy, completeness or suitability of AI-generated outputs for any particular purpose.
7.2. The Client is solely responsible for reviewing and validating AI-generated outputs before using them. When AI acts on behalf of the Client, any actions taken will follow the instructions and configurations established by the Client.
7.3. The quality of AI-generated outputs may depend on the knowledge base and information provided or configured by the Client. Third-party AI models may be used in the provision of Studio. The Client is responsible for verifying applicable local legal and regulatory restrictions and must discontinue any use that is prohibited or otherwise incompatible with applicable law.
7.4. The Client assumes full responsibility for decisions, actions and omissions relating to its business and operations taken based on the use of AI and the results generated, releasing Blip from any liability regarding the use and the results generated from the Client’s use of AI.
7.5. The use of Artificial Intelligence (AI) under this Term shall comply with applicable law.
8. LIMITATION OF LIABILITY
8.1. To the maximum extent permitted by applicable law, as this is a free and experimental service, Blip shall not be liable for any damages, whether direct or indirect, loss of profits, loss of data, loss of expectations or activities not completed arising from the use of or inability to use Blip Studio during the Trial.
8.2. No guarantees provided under Blip’s Terms of Service shall apply to the Trial, and the remaining liability limitations and exclusions established therein shall also apply.
8.3. The limitations set forth herein shall not exclude or limit the Client’s liability for violations of the obligations foreseen under these Terms, under applicable law or third parties’ rights.
9. FINAL PROVISIONS
9.1. Blip may amend these Terms at any time by making the updated version available to the Client. Continued use of the Trial after the updated version becomes available shall constitute acceptance of the amended Terms.
9.2. Tolerance regarding any non-compliance does not constitute a waiver of rights. The potential invalidity of a clause does not affect the others.
9.3. These Terms shall be governed by the law and subject to the jurisdiction established in Blip’s Terms of Service.
